This Code of Ethics sets forth broad standards of conduct that shall apply to all members, directors, officers, committee members, and employees (if any) (collectively, “Constituents”’) of the Professional Association of the United Methodist Church Secretaries (“PAUMCS”)
General Principles
Constituents shall strive to act in accordance with the highest standards of integrity and ethical conduct in all matters related to PAUMCS, including, but not limited to, the specific standards of conduct set forth in this Code of Ethics. Furthermore, Constituents shall act in a manner that is consistent with and furthers the mission and values of PAUMCS and The United Methodist Church.
Duty of Obedience
Constituents shall comply with the governing documents of PAUMCS and The Book of Discipline of the United Methodist Church (“Discipline”).
Duty of Care
In dealing with matters affecting PAUMCS, Constituents shall exercise the same care as a prudent person would exercise in a like position or under similar circumstances. In particular, Constituents who have voting authority with respect to matters affecting PAUMCS have a duty and responsibility to: (1) be informed about PAUMCS, including its mission and activities; (2) regularly attend, prepare for, and participate in meetings; and (3) exercise informed, independent judgment in making all decisions.
Duty of Loyalty
In dealing with matters affecting PAUMCS, Constituents shall act in good faith and in the best interests of PAUMCS. More specifically, they shall not put their own personal interest or the interests of a third party (individual or entity) above the interests of PAUMCS. If Constituents have an actual or potential conflict of interest, they shall disclose the conflict to the appropriate individual or group of individuals within PAUMCS and recues themselves from any discussions and decisions on matters related to the conflict of interest.
